Foreign representative offices are different from branches of foreign companies. A representative office is registered independently yet it is not recognized as a legal entity. This delimits the function of the RO to being an entry into the republic for the parent company and conducting research and market study. One or more representatives must manage the affairs of the office within the republic.
Registration and information alteration
Registering for this office is quite easy and fast. Upon setting up an organization or a firm, the board can desire to make changes to information about the entity. Be it a change in legal name, address, beneficial owners, the composition of the board, registration number, the principal activity of the entity, etc. In the case of any of these changes and others, the officer must inform the Enterprise Register of the change at most one month after the decision was taken. The office must apply for the change to be entered into the register of enterprises. This process takes one to fifteen days depending on the fee paid. The state fee is paid to facilitate the process of registration and without paying it, the Register will not process an application.
For a business owner who owns a representative office here and is looking to change any information as regards the entity, here is a guide that provides all information you need on how to make changes in information about a RO.
Steps to changing information of a foreign RO
The process of registering a change in information has three basic steps. They are listed below:
- Fill out the application form
- Pay the state fee
- Submit required documents
Fill out the registration form
The first step is to obtain the form PR-2 and accurately fill it. The form must be signed by members of the board showing their consent for the change. It must include information on the type of change and the new information as regards the change.
Pay the state fee
After filling out the form, the next step is to pay the state fee. This fee must be paid to the Treasury account two days before the submission of the form and other documents. The payment can be made at any bank in the country or via electronic means. As soon as the payment is confirmed, the Register starts the processing, and a certificate is issued afterward. The fee differs based on how fast an applicant desires the process to be. For registration within 15 days, the fee is EUR 14,23 to be paid to the account with the following details:
Valsts kase
Reģ. Nr. 90000050138
Valsts Kase, Konts: LV84TREL1060190913200
If an applicant desires a registration within 1 or 4 working days, the fee is EUR42,69 and EUR 28,43 respectively. Applications via the e-service submission option receive a 10 percent discount on the fee.
Submit the required documents
The last step is to submit the duly filled form alongside some documents. The documents can be submitted online or by post. They can be submitted by the board or representatives entrusted to them. The documents include:
- Receipt, copy, or online printout as proof of payment of the state fee
- Application form PR-2
